The Legal Manager is an individual who assists the Inswitch Business in all legal and compliance aspects for all legal entities. He/She prepares and reviews contracts and other legal documents.
Job summary We are a fast-growing FinTech, seeking a Legal Counsel to join our Legal function within the business. We are a highly respected Fintech company with an impressive client base of national and international entities. Reporting into the General Counsel, the Legal Counsel will advise the business on a wide range of corporate and commercial matters.
Key activities and responsibilities
- Commercial contracts role carrying out a variety of commercial legal work and delivering bespoke legal advice to the Group businesses.
- Assist with reviewing, drafting, negotiating and structuring of a broad range of commercial contracts, including master services agreements, IT services agreements, intragroup arrangements, partnership agreements and other ancillary business agreements.
- Managing the legal aspects of the company’s entity structure, including compiling and controlling corporate records, ownership structures, and other pertinent documentation.
- Maintain systems and repositories for the company’s legal documents and operations and record-keeping of all legal proceedings.
- Work closely with the Group businesses and the Sales Team at various stages of the contracting process. This includes: some text
- Supporting the pre-contracting process, e.g. inputting and reviewing RFIs and RFPs in line with contracting guidelines and best practices;
- Advising on legal issues regarding contracts and assisting with contract renewals and termination;
- Preparing contract summaries, risk reports and stakeholder briefing documents.
- Communicate and negotiate with external parties (external clients, partners, external counsel, etc.)
- Advise on all contentious and litigious matters involving third party supplier arrangements.
- Develop integrated relationships and credibility with key members of businesses and across Group functions. Liaise with and manage relations with relevant stakeholders (including business / tech / HR / marketing colleagues) to deliver a high standard of legal advice, acting as the initial point of contact / support and trusted adviser. Provide risk management advice to the business.

- Building relationships with and coordinating with other colleagues in the Legal Department and helping to develop / drive OKRs for the Legal team. Accustomed to operating with business stakeholders on complex matters in a fast-paced environment and with a successful track record of aligning legal priorities with business goals
- An ability to provide incisive, pro-active advice and sound commercial legal judgement.
Experience, Requirements, and Qualifications:
- Law degree from an accredited law school in any country where Inswitch has subsidiaries. Preferred from Brasil, Mexico or EEUU. Appropriate licensing requirements.
- Minimum of 5-8 years of relevant experience in Fintech with focus on payments, cross border BaaS, card issuing. International experience is required
- Experience in negotiating contracts and transactions.
- Ability to manage multiple priorities in a fast-paced environment.
- Strong legal acumen; ability to assess the impact of legal and compliance issues and decisions on the organization.
- Ability to anticipate legal and compliance issues.
- Superior judgment and analytical abilities, even when facing ambiguity; ability to weigh data and arguments to formulate solutions.
